Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and YUKI KITCHEN LLC, doing business as Yuki Bowl, concerning your access to and use of our website and services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use our services.

Services Description

Yuki Bowl provides professional computer systems design, technical consulting, and related services including but not limited to:

• Computer integrated systems design and implementation
• Management and technical consulting services
• Scientific and technical solutions
• System integration and architecture services
• Technology strategy and planning

Specific services will be defined in individual service agreements or statements of work.

Use of Services

Eligibility

You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use our services. By using our services, you represent and warrant that you meet these requirements.

Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others
• Transmit any harmful, threatening, or offensive content
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the operation of our services
• Use our services for any fraudulent or malicious purposes
• Impersonate any person or entity or misrepresent your affiliation

Service Agreements

Professional services provided by Yuki Bowl will be governed by separate service agreements or statements of work that detail the scope, deliverables, timeline, and compensation for specific projects. These service agreements will supplement and incorporate these Terms of Service.

Intellectual Property Rights

Our Property

All content, features, and functionality of our website and services, including but not limited to text, graphics, logos, software, and documentation, are owned by YUKI KITCHEN LLC or our licensors and are protected by copyright, trademark, and other intellectual property laws.

Client Property

You retain all rights to any materials, data, or information you provide to us. By providing such materials, you grant us a limited license to use them solely for the purpose of delivering our services to you.

Work Product

Ownership of work product created under service agreements will be specified in those agreements. Unless otherwise agreed in writing, custom work product created specifically for you will be transferred to you upon full payment, while pre-existing materials and general methodologies remain our property.

Confidentiality

We recognize that in the course of providing services, we may have access to confidential information. We agree to maintain the confidentiality of such information and use it only for the purpose of delivering services to you. Both parties agree not to disclose confidential information to third parties without prior written consent, except as required by law.

Payment Terms

Payment terms for professional services will be specified in individual service agreements. Unless otherwise agreed:

• Invoices are due within 30 days of the invoice date
• Late payments may incur interest charges at the rate of 1.5% per month
• We reserve the right to suspend services for non-payment
• All fees are non-refundable unless otherwise specified in writing

Warranties and Disclaimers

Professional Services

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. This warranty is limited to a period of 90 days from service delivery unless otherwise specified in a service agreement.

Disclaimer

Except as expressly stated in a service agreement, our services are provided on an as-is and as-available basis. We make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our services will be uninterrupted, error-free, or completely secure.

Limitation of Liability

To the maximum extent permitted by law, YUKI KITCHEN LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from or related to our services.

Our total liability for any claims arising from or related to our services shall not exceed the amount paid by you for the specific services giving rise to the claim during the 12 months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless YUKI KITCHEN LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

Term and Termination

These Terms remain in effect while you use our services. Either party may terminate a service agreement according to the terms specified in that agreement. Upon termination:

• You must pay for all services rendered up to the termination date
• We will return or destroy your confidential information as requested
• Provisions regarding confidentiality, intellectual property, and liability shall survive termination

Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut, United States, without regard to its conflict of law provisions.

Arbitration

Any dispute arising from or relating to these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Westport, Connecticut.

Exceptions

Either party may seek injunctive relief in court to protect intellectual property rights or confidential information.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a new effective date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.

General Provisions

Entire Agreement

These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and YUKI KITCHEN LLC regarding our services.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term.

Assignment

You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms without restriction.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
